Last week, the justices appeared torn about whether investors <a class=\"css-yywogo\" href=\"https:\/\/www.supremecourt.gov\/docket\/docketfiles\/html\/public\/23-980.html\" title=\"\" rel=\"noopener noreferrer\" target=\"_blank\">should be allowed to sue Facebook<\/a> over whether it had adequately disclosed a data breach.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">The two cases concerned different legal issues but the same practical one: If courts allow securities fraud suits seeking enormous sums to survive motions to dismiss at the earliest stages of a litigation, companies face pressure to settle the cases.<\/p>\n<p class=\"css-at9mc1 evys1bk0\">Justice Brett M. Kavanaugh made this point in <a class=\"css-yywogo\" href=\"https:\/\/www.supremecourt.gov\/oral_arguments\/argument_transcripts\/2024\/23-980_q8l1.pdf\" title=\"\" rel=\"noopener noreferrer\" target=\"_blank\">the Facebook argument<\/a>. \u201cJust to put the real world into this for a second, getting past the motion to dismiss is kind of \u2014 it\u2019s the game, right?\u201d he asked.<\/p>\n<\/div>\n<aside class=\"css-ew4tgv\" aria-label=\"companion column\"\/><\/div>\n<div data-testid=\"companionColumn-1\">\n<div class=\"css-53u6y8\">\n<p class=\"css-at9mc1 evys1bk0\">In response to concerns like those, Congress in 1995 enacted the <a class=\"css-yywogo\" href=\"https:\/\/www.law.cornell.edu\/uscode\/text\/15\/78u-4\" title=\"\" rel=\"noopener noreferrer\" target=\"_blank\">Private Securities Litigation Reform Act<\/a>, which tightened the requirements for how much detail investors had to provide at the outset. The law, Justice Ruth Bader Ginsburg <a class=\"css-yywogo\" href=\"https:\/\/www.law.cornell.edu\/supct\/html\/06-484.ZO.html\" title=\"\" rel=\"noopener noreferrer\" target=\"_blank\">wrote in 2007<\/a>, had \u201ctwin goals: to curb frivolous, lawyer-driven litigation, while preserving investors\u2019 ability to recover on meritorious claims.\u201d<\/p>\n<p class=\"css-at9mc1 evys1bk0\">At Wednesday\u2019s argument, Neal K. Katyal, a lawyer for Nvidia, said the plaintiffs, an investment firm and a pension fund, had not cleared a hurdle imposed by the 1995 law requiring detailed accusations about which statements from the company were false.
