{"id":136064,"date":"2024-12-12T04:51:48","date_gmt":"2024-12-11T21:51:48","guid":{"rendered":"https:\/\/hotvideos24.online\/?p=136064"},"modified":"2024-12-12T04:51:48","modified_gmt":"2024-12-11T21:51:48","slug":"albertsons-sues-kroger-for-failing-to-win-approval-of-their-proposed-supermarket-merger","status":"publish","type":"post","link":"https:\/\/hotvideos24.online\/?p=136064","title":{"rendered":"Albertsons sues Kroger for failing to win approval of their proposed supermarket merger"},"content":{"rendered":"<p> <script async src=\"https:\/\/pagead2.googlesyndication.com\/pagead\/js\/adsbygoogle.js?client=ca-pub-3711241968723425\"\r\n     crossorigin=\"anonymous\"><\/script>\r\n<ins class=\"adsbygoogle\"\r\n     style=\"display:block\"\r\n     data-ad-format=\"fluid\"\r\n     data-ad-layout-key=\"-fb+5w+4e-db+86\"\r\n     data-ad-client=\"ca-pub-3711241968723425\"\r\n     data-ad-slot=\"7910942971\"><\/ins>\r\n<script>\r\n     (adsbygoogle = window.adsbygoogle || []).push({});\r\n<\/script><br \/>\n<\/p>\n<div>\n<p>Kroger and Albertsons\u2019 plan for the <span class=\"LinkEnhancement\"><a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/kroger-albertsons-merger-ftc-83245c5cb38a99e329e439af01d2a2e5\">largest U.S. supermarket merger<\/a><\/span> in history crumbled Wednesday, with Albertsons pulling out of the $24.6 billion deal and the two companies accusing each other of not doing enough to push their proposed alliance through.<\/p>\n<p>Albertsons said it had filed a lawsuit against Kroger, seeking a $600 million termination fee as well as billions of dollars in <span class=\"LinkEnhancement\"><a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/kroger-albertsons-merger-ftc-antitrust-3ba6eba066636626c4bdc6cd4f73fa29\">legal fees<\/a><\/span> and lost shareholder value. Kroger said the claims were \u201cbaseless\u201d and that Albertsons was not entitled to the fee.<\/p>\n<p>The bitter breakup came the day after <span class=\"LinkEnhancement\"><a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/kroger-albertsons-merger-court-decision-41263bd9137d5046a642e7d26e98cdfc\">two judges halted the proposed merger<\/a><\/span> in separate court cases. U.S. District Court Judge Adrienne Nelson in Oregon issued a preliminary injunction Tuesday blocking the merger until an in-house judge at the Federal Trade Commission could consider the matter. <\/p>\n<p>An hour later, Superior Court Judge Marshall Ferguson in Seattle issued a permanent injunction <span class=\"LinkEnhancement\"><a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/kroger-albertsons-merger-washington-lawsuit-4977ceda820d84bee60b967e4bb339ec\">barring the merger<\/a><\/span>. Ferguson ruled that combining Albertsons and Kroger would lessen competition and violate consumer-protection laws.<\/p>\n<p>The companies could have appealed the rulings or proceeded to the in-house FTC hearings. Albertsons\u2019 decision to pull out of deal instead surprised some industry experts.<\/p>\n<p>\u201cI\u2019m in a state of professional and commercial shock that they would take this scorched earth approach,\u201d said Burt Flickinger, a longtime analyst and owner of retail consulting firm Strategic Resource Group. \u201cThe logical thing would have been for Albertsons to let the decision sink in for a day and then meet and see what could be done. But the lawsuit seems to make that a moot issue.\u201d<\/p>\n<p>Albertsons is unlikely to find another merger partner because it has significant debt and underperforming stores in most of its markets., Flickinger said. <span class=\"LinkEnhancement\"><a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/albertsons-kroger-merger-hearing-f134271ada4f0b8e347e53a626404083\">Consumers will feel<\/a><\/span> the most immediate impact of the deal\u2019s demise, he said, since Albertsons charges 12% to 14% more than Kroger and other grocery rivals.<\/p>\n<p>\u201cThey had so much debt they had to pay it off it\u2019s reflected in their pricing and promotional structure,\u201d Flickinger said. <\/p>\n<p>Albertsons CEO Vivek Sankaran testified during the federal hearing in September that his company might consider \u201cstructural options\u201d like laying off employees, closing stores and exiting certain markets if the merger with Kroger didn\u2019t go through.<\/p>\n<p>\u201cI would have to consider that,\u201d he said. \u201cIt\u2019s a dramatically different picture with the merger than without it.\u201d<\/p>\n<p>But in a statement Wednesday, Sankaran said Albertsons would \u201cstart this next chapter in strong financial condition with a track record of positive business performance.\u201d In the company\u2019s most recent quarter, Albertsons\u2019 revenue rose 1% to $18.5 billion and it reported $7.9 billion in debt.<\/p>\n<p>Kroger and Albertsons first proposed the <span class=\"LinkEnhancement\"><a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/business-albertsons-companies-inc-0cfbd68f81ba8aab7c1d3012c69804d9\">merger in 2022<\/a><\/span>. They argued that combining would help them better compete with big retailers like Walmart, Costco and Amazon, which are gaining an increasing share of U.S. grocery sales. Together, Kroger and Albertsons would control around 13% of the U.S. grocery market. Walmart controls around 22%.<\/p>\n<p>Under the merger agreement, Kroger and Albertsons \u2014 who compete in 22 states \u2014 agreed to <span class=\"LinkEnhancement\"><a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/kroger-albertsons-merger-cs-grocery-9a1d40ba06f752d3c5c3d5db78fede4c\">sell 579 stores<\/a><\/span> in places where their locations overlap to <span class=\"LinkEnhancement\"><a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/kroger-albertsons-merger-cs-wholesale-grocer-401520f2a25ea2ae5fd06be4973b7c48\">C&amp;S Wholesale Grocers<\/a><\/span>, a New Hampshire-based supplier to independent supermarkets that also owns the Grand Union and Piggly Wiggly store brands.<\/p>\n<p>But the Federal Trade Commission and two states \u2014 Washington and <span class=\"LinkEnhancement\"><a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/kroger-albertsons-merger-colorado-06a59a420139ef8f4400b128778d408d\">Colorado<\/a><\/span> \u2014 sued to block the merger earlier this year, saying it would raise prices and lower workers\u2019 wages by eliminating competition. It also said the divestiture plan was inadequate and that C&amp;S was ill-equipped to take on so many stores.<\/p>\n<p>On Wednesday, Albertsons said that Kroger failed to exercise \u201cbest efforts\u201d and to take \u201cany and all actions\u201d to secure regulatory approval of the companies\u2019 agreed merger transaction.<\/p>\n<p>Albertsons said Kroger refused to divest the assets necessary for antitrust approval, ignored regulators\u2019 feedback and rejected divestiture buyers that would have been stronger than C&amp;S.<\/p>\n<p>\u201cKroger\u2019s self-serving conduct, taken at the expense of Albertsons and the agreed transaction, has harmed Albertsons\u2019 shareholders, associates and consumers,\u201d said Tom Moriarty, Albertsons\u2019 general counsel, in a statement.<\/p>\n<p>Kroger said that it disagrees with Albertsons \u201cin the strongest possible terms.\u201d It said early Wednesday that Albertsons was responsible for \u201crepeated intentional material breaches and interference throughout the merger process.\u201d<\/p>\n<p><span class=\"LinkEnhancement\"><a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/opioid-crisis-settlement-kroger-79356d42ded9c5099e1c2b88d3ffc061\">Kroger<\/a><\/span>, based in Cincinnati, Ohio, operates 2,800 stores in 35 states, including brands like Ralphs, Smith\u2019s and Harris Teeter. <span class=\"LinkEnhancement\"><a class=\"Link AnClick-LinkEnhancement\" data-gtm-enhancement-style=\"LinkEnhancementA\" href=\"https:\/\/apnews.com\/article\/business-dividends-8c6e67bf9fb0cc3da523c672a6ca9141\">Albertsons<\/a><\/span>, based in Boise, Idaho, operates 2,273 stores in 34 states, including brands like Safeway, Jewel Osco and Shaw\u2019s. Together, the companies employ around 710,000 people.<\/p>\n<p>Kroger sued the FTC in August in federal court in Ohio, claiming that the federal agency\u2019s in-house administrative hearings were unlawful because the FTC was also able to challenge the merger in federal court in Oregon. In paperwork filed Wednesday, the FTC said it expected to update the court on its next steps in that case by Dec. 17.<\/p>\n<p>In Colorado, which also sued to block the merger, Attorney General Phil Weiser said Tuesday that he still was awaiting a decision from a state judge.
