The appeal process is a key step in the company\u2019s attempt to try and reinstate the CEO\u2019s $56 billion high-risk, high-reward compensation plan.<\/p>\n<p>Tesla has previously announced that it would be appealing Delaware Chancellor Kathaleen McCormick\u2019s ruling, which overruled a vote from a majority of Tesla shareholders.<\/p>\n<h2><strong>Key updates:<\/strong>\u00a0<\/h2>\n<ul>\n<li>Chancellor Kathaleen McCormick of the Court of Chancery recently issued an order that opens a 30-day window for an appeal to be filed with the Delaware Supreme Court, as noted in a <em><a href=\"https:\/\/www.reuters.com\/legal\/judge-clears-way-musk-appeal-try-restore-56-billion-tesla-pay-2024-12-13\/\" target=\"_blank\" rel=\"noreferrer noopener\">Reuters<\/a><\/em> report.<\/li>\n<li>With this, Elon Musk and Tesla\u2019s board that approved the CEO\u2019s 2018 compensation plan could appeal McCormick\u2019s ruling in January.\u00a0<\/li>\n<li>Tesla also has the opportunity to appeal McCormick\u2019s order that required Tesla to pay $345 million to the attorneys who represented Richard Tornetta, a TSLA shareholder with nine shares who initiated the lawsuit in 2018 in protest against Musk\u2019s pay package.<\/li>\n<\/ul>\n<h2><strong>Judge\u2019s concerns:<\/strong><\/h2>\n<ul>\n<li>McCormick has alleged that Musk and the Tesla board breached their fiduciary duty to investors by approving a pay package that she described as \u201cunfathomable\u201d in size.<\/li>\n<li>Tesla shareholders <a href=\"https:\/\/www.teslarati.com\/tesla-starts-battle-delaware-judge-elon-musk-pay-ruling\/\">ratified Elon Musk\u2019s 2018 compensation plan<\/a> at the company\u2019s 2024 Annual Shareholders Meeting.
